Welcome to Spectra Watch Surveillance. Please read these Terms of Service ("Terms") carefully as they contain important information about your legal rights, remedies, and obligations. By accessing or using our services, you agree to comply with and be bound by these Terms.
1. Acceptance of Terms
By using our services, subscribing to our monitoring plans, or engaging our back office support services, you ("Customer," "you," or "your") agree to these Terms of Service, which form a binding agreement between you and Spectra Watch Surveillance ("Company," "we," "us," or "our"). If you do not agree to these Terms, please do not use our services.
2. Service Description
Spectra Watch Surveillance provides remote CCTV monitoring and back office support services to businesses. Our services include but are not limited to:
- 24/7 or 12-hour remote CCTV monitoring
- Motion detection and alert services
- Back office support and documentation
- Data analysis and reporting
- Store operations support
- CCTV installation and equipment provision (where applicable)
3. Service Agreement
3.1 Service Term
The initial term of service begins on the date of service activation and continues for the period specified in your service agreement (typically one month, six months, or one year). Unless otherwise specified, all agreements automatically renew for successive periods equal to the initial term unless terminated by either party with written notice at least thirty (30) days prior to the end of the current term.
3.2 Service Modification
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, including hours of operation or availability of the service or any feature, without notice and without liability. You will be notified of any material changes to the services that affect your usage at least 14 days before implementation.
4. Customer Responsibilities
4.1 Equipment and Connectivity
You are responsible for providing and maintaining all necessary equipment, connectivity, and network infrastructure required for our monitoring services, unless otherwise specified in a separate installation agreement. This includes ensuring your CCTV system is compatible with our monitoring services and maintaining an active internet connection.
4.2 Access and Authorization
You agree to provide us with the necessary access, permissions, and authorizations to monitor your CCTV systems and provide the contracted services. You represent and warrant that you have the legal right to authorize us to monitor all locations covered by our services.
4.3 Compliance with Laws
You are responsible for ensuring that your use of our services complies with all applicable local, state, federal, and international laws and regulations, including but not limited to privacy laws, surveillance regulations, and data protection requirements.
5. Pricing and Payment
5.1 Service Fees
You agree to pay all fees associated with the services as specified in your service agreement. All fees are quoted in US Dollars and are due in advance for the applicable service period, unless otherwise stated in your agreement.
5.2 Payment Terms
Payments are due within fifteen (15) days of invoice date. We accept major credit cards, bank transfers, and other payment methods as specified in your invoice. Late payments may result in service suspension and will be subject to late fees of 1.5% per month or the maximum permitted by law, whichever is lower.
5.3 Price Changes
We reserve the right to change our prices at any time. For existing customers, price changes will take effect at the beginning of the next service term. We will provide at least thirty (30) days' notice of any price changes.
6. Termination
6.1 Termination by Customer
You may terminate services by providing written notice at least thirty (30) days before the end of your current service term. Early termination before the end of your committed service term may result in early termination fees as specified in your service agreement.
6.2 Termination by Company
We reserve the right to suspend or terminate services immediately and without prior notice if:
- You breach any provision of these Terms or your service agreement
- You fail to pay any amounts due within thirty (30) days of the due date
- We determine, in our sole discretion, that your use of the services poses a security risk or could subject us to liability
- We are required to do so by law or at the request of a governmental entity
7. Limitation of Liability
Our services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall Spectra Watch Surveillance, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your use of or inability to use our services
- Any unauthorized access to or alteration of your transmissions or data
- Statements or conduct of any third party regarding the services
- Service interruptions or technical failures
- Any other matter relating to our services
Our total liability for any claim arising from or related to the services shall not exceed the total amount paid by you for the services in the twelve (12) months preceding the event giving rise to the liability.
8. Indemnification
You agree to indemnify, defend, and hold harmless Spectra Watch Surveillance, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:
- Your use of our services
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your violation of any applicable laws, rules, or regulations
9. Confidentiality
We understand that the information we monitor and process may be sensitive and confidential. We agree to:
- Maintain the confidentiality of your information
- Use your information only for the purpose of providing our services
- Implement and maintain appropriate security measures to protect your information
- Not disclose your information to any third party except as required by law or with your written consent
10. Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by circumstances beyond reasonable control, including but not limited to acts of God, natural disasters, terrorism, riots, war, epidemics, pandemics, power failures, internet service provider failures, telecommunications failures, or governmental actions.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you consent to the jurisdiction thereof.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of any material changes through our website or by sending an email to the address associated with your account. Your continued use of our services after such modifications constitutes your acceptance of the modified Terms.
